1. Definitions
In these Terms of Use, unless the context otherwise requires:
“Apex Express”, “we”, “us” or “our” means Apex Express Sdn Bhd (Company No. 1413020-X), a company incorporated in Malaysia, together with its officers, employees, agents and authorised representatives.
“Platform” means the Apex Express website, any customer portal, online quotation tool, and any mobile-optimised or app-based interface made available by Apex Express.
“Services” means freight forwarding (air, sea and land), customs brokerage, trade compliance advisory, third-party logistics (3PL), warehousing, repacking, last-mile delivery, and any other logistics-related services provided by Apex Express, whether arranged via the Platform, in writing, or verbally.
“Shipping Documentation” means the air waybill, bill of lading, delivery order, customs declaration (including K1/K2 forms and DagangNet submissions), packing list, commercial invoice, and any other document relating to a shipment.
“Customer”, “You” or “Your” means the individual or entity using the Platform or engaging Apex Express for Services, and, where that person is acting on behalf of another (a principal, shipper, consignee, or importer of record), includes that represented party.
“Principal” means, in the context of 3PL or fulfilment arrangements, the party for whom Apex Express holds, stores, repacks or delivers goods under a separate fulfilment or service agreement.
“Service Agreement” means any signed quotation, rate agreement, fulfilment agency agreement, or other written contract between You and Apex Express governing specific Services.
“Personal Data” has the meaning given under the Malaysian Personal Data Protection Act 2010 (“PDPA”).
The Platform is provided solely to allow current and prospective customers to request quotations, book shipments, track consignments, and manage their account with Apex Express. It may not be used by any person for any other purpose, including on behalf of an undisclosed third party, without our prior written consent.
You must not use any automated means (bots, scrapers, or scripting tools) to extract data from or submit data to the Platform without our written authorisation.
You must not use the Platform to transmit any unlawful, defamatory, infringing, or fraudulent content, or to interfere with the proper functioning of the Platform.
Apex Express may modify, suspend or discontinue any part of the Platform at any time, with or without notice, including for maintenance, security or business reasons.
Any suggestions, ideas or feedback You submit through the Platform may be used by Apex Express without obligation or compensation to You, unless otherwise agreed in writing.
3. Account Registration and Security
Certain features of the Platform (such as online booking, tracking history, and invoice access) require registration for a customer account.
You agree to provide accurate, current and complete information when registering, and to promptly update such information if it changes.
You are responsible for maintaining the confidentiality of Your login credentials and for all activity that occurs under Your account. You must notify us immediately at
We may suspend or terminate Your account if we reasonably suspect fraudulent, abusive, or unlawful use.
4. Quotations, Bookings and Acceptance of Shipments
Rate quotations provided via the Platform, email, or verbally are indicative only and do not constitute a binding offer unless expressly confirmed in writing by Apex Express. Final charges may differ based on actual weight, dimensions, volumetric weight, applicable duties and taxes, customs assessment, storage, and other factors arising after booking.
A booking is only confirmed once Apex Express issues a written booking confirmation or accepts the shipment for carriage. We reserve the right, at our sole discretion, to decline any booking or shipment.
You are responsible for the accuracy and completeness of all information provided at the time of booking, including consignee details, goods description, HS code, declared value, and any special handling requirements.
Where Apex Express prepares or submits Shipping Documentation on Your behalf (including via DagangNet or other customs systems), this does not relieve You of responsibility for the accuracy of the underlying information supplied by You.
5. Customer Obligations and Prohibited Goods
You warrant that You are the shipper, consignee, importer of record, or otherwise authorised to tender the relevant goods for carriage, storage or customs clearance.
You must not tender for shipment or storage any goods that are prohibited or restricted under Malaysian law or the law of any origin, transit or destination country, including but not limited to:
Dangerous goods not properly declared, classified, and packaged in accordance with applicable IATA/IMDG regulations (including undeclared lithium battery shipments);
Goods subject to export or import restrictions under Malaysia's Strategic Trade Act 2010, Customs Act 1967, or any sanctions or strategic trade control regime, unless all required permits and authorisations have been obtained;
Counterfeit goods, illegal narcotics, firearms, or other contraband;
Any goods for which You have not obtained the necessary licences, permits, SIRIM approvals, or regulatory clearances.
You are solely responsible for obtaining any import/export permits, SIRIM approvals, MITI strategic trade licences, or other regulatory authorisations required for Your goods, unless Apex Express has expressly agreed in writing to obtain these on Your behalf as part of a Service Agreement.
The list above is not exhaustive. Additional items may be prohibited or restricted depending on the specific origin, transit, or destination country of Your shipment (see Section 8.5 for destination-specific restrictions on international shipments), and Apex Express reserves the right to decline any shipment that does not, in our reasonable opinion, comply with applicable restrictions.
Apex Express reserves the right to open and inspect any shipment where reasonably necessary for customs, security, or safety purposes, or where required by any regulatory authority.
6. Charges, Payment and Late Payment
Charges for Services are as set out in the applicable quotation, rate card, or Service Agreement, and are exclusive of applicable taxes (including SST) unless stated otherwise.
Duties, taxes, customs clearance fees, storage fees, and any penalties imposed by a regulatory authority arising from Your shipment are Your responsibility, in addition to our Service charges.
Invoices are payable within the credit terms stated on the invoice or Service Agreement. Late payment may result in interest charges, suspension of Services, or exercise of a lien over goods in our possession to the extent permitted by law, until outstanding amounts are settled.
Apex Express may require full or partial payment in advance for new customers or for shipments involving high-value or high-risk goods.
Payment Methods. We accept payment by bank transfer, online banking (FPX), major credit/debit cards, and such other methods as may be indicated on the Platform or Your invoice. For international customers, we may also accept payment by telegraphic transfer or through a designated third-party payment processor, subject to that processor's own terms.
Currency and Conversion. Quotations and invoices for domestic shipments are issued in Malaysian Ringgit (MYR) unless stated otherwise. For international shipments, charges may be quoted or invoiced in a foreign currency; where payment is made in a different currency, the applicable exchange rate shall be the rate used by our bank or payment processor on the date of conversion, and You are responsible for any conversion fees or exchange rate differences. Apex Express does not warrant any particular exchange rate and is not liable for losses arising from currency fluctuation between quotation and payment dates.
7. Customs Brokerage and Regulatory Compliance
Where Apex Express provides customs brokerage services, we act as Your agent for the limited purpose of preparing and submitting declarations and liaising with the Royal Malaysian Customs Department (RMCD) and other relevant authorities, based on information and documents supplied by You.
We do not warrant the outcome of any customs assessment, valuation, tariff classification, or duty exemption application. Decisions of RMCD or other regulatory bodies are outside our control.
You agree to indemnify Apex Express for any penalties, fines, storage charges, or other losses arising from incorrect, incomplete, or misleading information or documentation supplied by You, in accordance with Section 13 (Indemnity).
Where shipments are held by RMCD or another authority due to incomplete or incorrect documentation, we will attempt to notify You but assume no liability for delay or loss arising from Your failure to provide corrected information within a reasonable time.
8. International Shipments
Where Your shipment involves carriage to, from, or through a country other than Malaysia, additional terms, customs procedures, and delays outside our control may apply, as further described in this Section.
Customs Duties and Taxes. Import duties, taxes (including GST/VAT or equivalent), and customs clearance fees imposed by the destination or transit country are Your responsibility (or, where shipped on a Delivered Duty Paid basis, as separately agreed and charged), in addition to our Service charges. We do not control and cannot guarantee the amount or timing of any customs assessment.
Customs Delays. Shipments may be delayed at any border for customs inspection, documentation review, or regulatory hold, at the discretion of the relevant customs or government authority. Apex Express will use reasonable efforts to notify You of any known delay but assumes no liability for delays caused by customs authorities or Your failure to provide accurate or complete documentation.
Compliance with Foreign Law. You are responsible for ensuring that Your goods, packaging, and labelling comply with the import laws, product standards, and regulatory requirements of the destination country, including any country-specific certification, licensing, or registration requirements. Apex Express may decline to accept a shipment where we reasonably believe it does not comply with destination-country requirements.
Destination-Specific Restrictions. In addition to the prohibited and restricted goods listed in Section 5, certain items may be prohibited, restricted, or subject to additional permits depending on the specific destination country (for example, food products, cosmetics, batteries, or goods subject to import quotas). You should confirm destination-specific restrictions with Apex Express prior to booking, and we may provide country-specific guidance on request but do not warrant its completeness, as foreign regulations change without notice.
International shipments remain subject to the Terms of Carriage and Service and liability limits described in Sections 11 and 13, in addition to any applicable international convention (such as the Montreal Convention or Warsaw Convention for air carriage, or the Hague-Visby Rules for sea carriage) governing the relevant leg of carriage, to the extent such conventions apply by law.
9. Warehousing and 3PL Services
Where Apex Express provides warehousing, repacking, pick-and-pack, or last-mile delivery services under a separate Fulfilment Agency Agreement or similar Service Agreement, the terms of that agreement shall govern such Services, and these Terms of Use apply supplementarily to the extent not inconsistent.
You (or Your Principal) remain the owner of goods stored with Apex Express. We do not acquire any ownership interest in stored goods, but may exercise a lien over goods for unpaid Service charges to the extent permitted by law.
You are responsible for maintaining adequate insurance over goods stored with or handled by Apex Express, unless otherwise agreed in writing.
10. Insurance and Claims
Apex Express's liability for loss of or damage to goods, unless otherwise agreed in a Service Agreement, shall not exceed the limits set out in the applicable Standard Conditions of Carriage, or such other limit as may be agreed in writing, or the amount recoverable under any cargo insurance You have separately purchased, whichever You elect.
Optional Cargo Insurance. Where available, You may purchase cargo insurance through Apex Express (arranged via a third-party insurer) or through Your own insurer, at an additional cost, to cover the full declared value of Your goods against loss or physical damage during transit, subject to the insurer's policy terms, exclusions, and deductibles. Insurance arranged through Apex Express is subject to a separate insurance certificate and the terms of the underlying policy, which shall prevail over these Terms of Use for insurance-related matters. Apex Express acts only as an intermediary in arranging such insurance and is not the insurer.
Standard liability limits under our Standard Conditions of Carriage (see Section 13) are typically calculated per kilogram of the shipment and may be significantly lower than the actual value of Your goods. You are strongly advised to obtain cargo insurance for goods of significant value, particularly for international shipments, as our liability limits under standard terms may not fully cover Your loss.
Claims Process. Any claim for loss, damage, or delay must be notified to Apex Express in writing within the time period specified in the applicable Service Agreement, Standard Conditions of Carriage, or insurance policy (or, if none specified, within 14 days of delivery, or of the date delivery should have occurred), failing which the claim shall be deemed waived to the extent permitted by law. A claim must be accompanied by supporting documentation, including the relevant Shipping Documentation, evidence of value (such as a commercial invoice), and evidence of the loss or damage (such as photographs). Apex Express will acknowledge receipt of a claim and aims to provide a substantive response, or request further information, within 14 business days.
11. Terms of Carriage and Service; Order of Priority
The carriage, storage, and handling of Your goods is additionally governed by our Standard Conditions of Carriage, any applicable rate agreement, and the terms printed or referenced on the Shipping Documentation, which are incorporated into these Terms of Use by reference.
In the event of a conflict, the order of priority shall be: (i) a signed Service Agreement between You and Apex Express; (ii) the Standard Conditions of Carriage or terms on the Shipping Documentation; then (iii) these Terms of Use.
If a shipment originates outside Malaysia, the contract of carriage for that leg may be with the relevant Apex Express partner, agent, or subcontracted carrier who first accepts the shipment, subject to that party's own conditions of carriage.
12. Disclaimer of Warranty
THE PLATFORM AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY MALAYSIAN LAW. APEX EXPRESS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT TRACKING INFORMATION DISPLAYED ON THE PLATFORM IS COMPLETE OR ACCURATE IN REAL TIME.
TO THE FULLEST EXTENT PERMITTED BY LAW, APEX EXPRESS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, LOSS OF BUSINESS, OR LOSS OF DATA) ARISING FROM YOUR USE OF THE PLATFORM OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Loss or Damage. Apex Express's liability for physical loss of, or damage to, a shipment (domestic or international) shall be limited to the lower of: (a) the actual value of the goods lost or damaged as evidenced by a commercial invoice or other proof of value; or (b) the per-kilogram or per-shipment limit set out in our Standard Conditions of Carriage, or in the applicable international convention governing that leg of carriage (such as the Montreal Convention for air carriage or the Hague-Visby Rules for sea carriage), whichever applies — unless You have purchased additional cargo insurance under Section 10.2, in which case the insurance policy terms shall govern the recoverable amount.
Delay. Apex Express does not guarantee specific delivery or transit times for international shipments, as these depend on factors outside our control, including customs clearance, carrier scheduling, and cross-border regulatory processes. Except where a specific transit time has been guaranteed in writing under a Service Agreement, Apex Express shall not be liable for consequential losses arising from delay, and our liability for delay (where applicable) shall be limited to a refund of the freight charges for the delayed shipment.
How Claims Are Assessed. On receipt of a claim under Section 10.4, Apex Express (or, where applicable, our cargo insurer or the relevant carrier) will assess the claim based on the Shipping Documentation, evidence of value, evidence of the loss or damage, and the terms of the Standard Conditions of Carriage, applicable international convention, or insurance policy. We may request additional information or a joint inspection of damaged goods. Valid claims will be settled based on the applicable liability limit in Section 13.1; claims exceeding that limit will only be honoured to the extent covered by any additional insurance purchased.
Apex Express's total aggregate liability for any claim arising from the Services shall not exceed the applicable limit set out in Section 13.1, or the amount of the Service charges paid by You for the specific shipment or Service giving rise to the claim, whichever is higher, unless a higher limit is expressly agreed in writing.
Apex Express shall not be liable for delay, loss, or damage caused by events beyond our reasonable control, including those described in Section 17 (Force Majeure), or for consequences of inaccurate, incomplete, or late information or documentation provided by You.
Nothing in these Terms of Use excludes or limits liability that cannot be excluded or limited under Malaysian law, including liability for death or personal injury caused by negligence, or fraud, or any liability or right that cannot be excluded under the Consumer Protection Act 1999 where that Act applies to Your transaction.
14. Indemnity
You agree to defend, indemnify and hold harmless Apex Express, its officers, directors, employees and agents from and against all claims, demands, losses, damages, costs and expenses (including reasonable legal fees) arising out of or relating to:
Your breach of these Terms of Use or any Service Agreement;
Inaccurate, incomplete, or misleading information or documentation provided by You, including in relation to customs declarations, goods description, or declared value;
Your shipment of prohibited, undeclared, or improperly packaged goods;
Your failure to obtain required permits, licences, or regulatory approvals for Your goods;
Your violation of any applicable law or regulation in connection with Your use of the Platform or the Services.
15. Intellectual Property
The Platform, including its design, text, graphics, logos, and underlying software, is owned by or licensed to Apex Express and is protected by Malaysian and international intellectual property laws.
You may not copy, modify, reproduce, distribute, reverse engineer, or create derivative works from any part of the Platform without our prior written consent, except as necessary for Your own personal or internal business use of the Services.
16. Privacy and Personal Data Protection
Apex Express processes Personal Data collected via the Platform or in connection with the Services in accordance with our Privacy Notice and the Malaysian Personal Data Protection Act 2010.
By using the Platform or engaging our Services, You consent to the collection, use and disclosure of Personal Data as described in our Privacy Notice, including disclosure to customs authorities, carriers, and regulatory bodies as necessary to perform the Services.
Where You provide Personal Data of a third party (such as a consignee or neighbour for delivery purposes), You warrant that You have obtained that party's consent to share their data with Apex Express for the purposes of fulfilling the shipment.
Cross-Border Transfer. For international shipments, Your Personal Data (and that of the consignee) may need to be transferred to, and processed in, the destination country or transit countries, including disclosure to foreign customs authorities, overseas logistics partners, and payment processors, in order to perform the Services. Where such transfer is to a jurisdiction without data protection laws comparable to the PDPA, we will take reasonable steps to ensure the data is protected consistently with the PDPA's requirements, to the extent required by Malaysian law, and by using the Platform or Services for an international shipment You consent to such transfer as necessary to fulfil that shipment.
17. Force Majeure
Apex Express shall not be liable for any failure or delay in performance caused by events beyond our reasonable control (“Force Majeure Events”), including but not limited to:
Acts of God, extreme weather, earthquakes, floods, or other natural disasters;
War, invasion, act of foreign enemies, terrorism, civil unrest, riot, or insurrection in any origin, transit, or destination country;
Strikes, lockouts, or labour disputes affecting ports, airports, carriers, or customs authorities;
Port or airport congestion, closure, or capacity restrictions, and fuel or capacity shortages;
Pandemic, epidemic, or public health emergency and related government restrictions;
The imposition of new trade sanctions, export controls, embargoes, or import/export bans by any government affecting the shipment's origin, transit, or destination;
Acts or omissions of customs, port, immigration, or other government authorities, including delays in clearance or inspection;
Cyberattacks, internet or telecommunications failures, or power outages affecting the Platform or our systems.
Where a Force Majeure Event affects an international shipment, Apex Express will use reasonable efforts to notify You and to reroute, hold, or return the shipment as circumstances allow, but any additional costs arising from such rerouting, storage, or return shall be for Your account unless otherwise agreed.
18. Suspension and Termination
Apex Express may suspend or terminate Your access to the Platform, or decline to provide Services, at any time and without notice, where We reasonably believe You have breached these Terms of Use, engaged in fraudulent or unlawful conduct, or where required by law or regulatory direction.
Termination of Platform access does not affect any rights or obligations that have already accrued, including payment obligations for Services already performed, and provisions which by their nature are intended to survive (including Sections 10, 12, 13, 14, 20 and 22) shall survive termination.
19. Links to Third-Party Sites and Services
The Platform may contain links to third-party websites or services (such as payment gateways or partner carrier tracking tools). Apex Express does not control and is not responsible for the content, accuracy, or practices of any third-party site. Your use of any third-party site or service is at Your own risk and subject to that party's own terms and privacy policy.
20. Export Control and Sanctions Compliance
You are solely responsible for compliance with all applicable export control and trade sanctions laws relating to Your goods, including Malaysia's Strategic Trade Act 2010 and related MITI directives, as well as any applicable foreign sanctions regimes (such as those administered by the U.S. Treasury's OFAC) where relevant to the origin, transit, or destination of Your shipment.
You represent and warrant that You are not a restricted or sanctioned party under any applicable law, and that Your goods are not destined for any country, entity or individual subject to comprehensive trade sanctions, unless all necessary licences and authorisations have been obtained.
21. Consumer Protection
Where You are a “consumer” as defined under the Malaysian Consumer Protection Act 1999 (i.e. acquiring the Services primarily for personal, domestic, or household use), nothing in these Terms of Use excludes, restricts, or modifies any right, guarantee, or remedy conferred on You under that Act or any other applicable consumer protection law that cannot lawfully be excluded or limited.
Apex Express will provide clear and accurate information regarding Service charges, estimated transit times, and applicable duties and taxes prior to Your confirming a booking, to the extent such information is known to us at that time.
Where You are a consumer based outside Malaysia, You may additionally be entitled to protections under the consumer protection laws of Your home country in respect of cross-border transactions; nothing in this Section 21 or in Section 22 (Governing Law) is intended to displace any such mandatory protection to the extent it cannot lawfully be excluded.
If You have a complaint about our Services, please contact us using the details in Section 27 (Contact Us) in the first instance, and we will aim to resolve Your complaint promptly and fairly.
22. Governing Law and Dispute Resolution
These Terms of Use, and any dispute or claim arising out of or in connection with them or the Services (including non-contractual disputes), shall be governed by and construed in accordance with the laws of Malaysia.
The parties submit to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia, save that Apex Express may seek injunctive or other equitable relief in any court of competent jurisdiction where necessary to protect its rights.
Where the parties agree, disputes may first be referred to mediation or arbitration under the Rules of the Asian International Arbitration Centre (AIAC), seated in Kuala Lumpur, before resorting to litigation.
International Customers. Where You are located outside Malaysia, You acknowledge and agree that Malaysian law and the exclusive jurisdiction of the Kuala Lumpur courts (or AIAC arbitration, where agreed) shall nonetheless apply to any dispute with Apex Express, except to the extent a mandatory law of Your home jurisdiction requires otherwise and cannot be excluded by agreement (see Section 21.3 on consumer protection).
23. Assignment and Waiver
You may not assign or transfer Your rights or obligations under these Terms of Use without our prior written consent. Our failure to enforce any right or provision shall not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Apex Express.
24. Notices and Communications
Apex Express may communicate with You using the email address, phone number, or other contact details You provide, including for booking confirmations, shipment updates, invoices, and service-related announcements. Formal legal notices should be sent in writing to our registered address set out in Section 27.
25. Amendments to These Terms
Apex Express may amend, update, or replace these Terms of Use at any time, in our reasonable discretion, including to reflect changes in our Services, applicable law, or industry practice. The “Last updated” date at the end of this document indicates when it was last revised.
For material changes that affect international shipping terms (including customs responsibilities, liability limits, or prohibited/restricted goods), Apex Express will use reasonable efforts to notify active customers by email or by a prominent notice on the Platform at least 14 days before the change takes effect, where practicable. Minor or non-material changes (such as formatting or contact detail updates) may be made without prior notice.
Your continued use of the Platform or Services after an amendment takes effect constitutes Your acceptance of the revised Terms of Use. If You do not agree to a material change, You should stop using the Platform and may terminate any ongoing Service Agreement in accordance with its terms; the amendment will not apply retroactively to shipments already booked and confirmed prior to the change taking effect.
26. Severability and Entire Agreement
If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.
These Terms of Use, together with any applicable Service Agreement and our Privacy Notice, constitute the entire agreement between You and Apex Express regarding Your use of the Platform and the Services, and supersede all prior discussions or agreements on that subject, unless otherwise expressly agreed in writing.

Appendix: Actual Weight and Volumetric Weight
"Actual Weight" is the weight of the package after it arrives at the warehouse. "Volumetric Weight" is the weight calculated based on the volume of the goods, used for freight calculation. The formula is Length × Width × Height ÷ Volumetric Coefficient.
Example: after packing and compression, a package measuring 25(L) × 30(W) × 35(H) cm has a Volumetric Weight of 25 × 30 × 35 ÷ 6000 = 4.375kg.
- After re-packing and merging orders, the weight and dimensions will be re-measured.
- There may be slight errors in each scale; the EasyWin scale reading will be the standard.
- The final chargeable weight submitted for shipment will be rounded up. For weights above 1kg, the rounding unit is 0.5kg; for weights below 1kg, it is 1kg.
- Measurement unit is 1cm. After calculating Length × Width × Height ÷ 6000, round up to the nearest integer for Volumetric Weight.
